Terms of Use

These Terms set out the public rules for using GreenRev and are written for GreenRev's multi-sided automotive marketplace, digital services and planned mobile applications.

1. Agreement and Definitions

These Terms of Use (Terms) govern access to and use of GreenRev's website, mobile applications, dashboards, marketplace tools, communications and related services (the Platform). The Platform is operated by GreenCrest Ltd (GreenRev, we, us, our).

By accessing or using the Platform, creating an account, publishing or responding to a listing, subscribing, purchasing or requesting a product or service, you agree to these Terms and any service-specific terms presented to you. If you do not agree, do not use the Platform.

User means any person or organisation using the Platform. Seller includes a private seller, dealer or vendor. Service Provider includes mechanics, inspectors, rental providers, logistics providers and other independent professionals.

2. GreenRev's Marketplace Role

GreenRev is a technology-enabled automotive marketplace and services platform. It may connect users with independent vehicle sellers, dealers, parts vendors, mechanics, inspectors, rental providers, logistics providers, finance providers and other third parties.

Unless expressly stated for a specific service, GreenRev does not own third-party vehicles or goods, and is not the manufacturer, dealer, mechanic, insurer, lender, carrier or rental provider. The underlying contract for a third-party product or service is normally between the relevant users.

GreenRev may provide search, comparison, listings, lead generation, messaging, verification tools, transaction references, payment facilitation, delivery confirmation, analytics and customer support. GreenRev may receive fees or commissions for certain services.

3. Eligibility, Registration and Account Security

You must have legal capacity to enter binding agreements. A person acting for a business confirms that they have authority to bind that business.

You must provide accurate, current and complete information. You are responsible for protecting your password, one-time codes and other credentials. Notify us promptly at support@greenrevs.com if you suspect unauthorised access.

We may require identity, business, ownership, banking, vehicle or other verification information where reasonably necessary for marketplace safety, fraud prevention, transaction processing or legal compliance.

4. App Licence

If you download a GreenRev mobile application, GreenCrest Ltd grants you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use the application on devices you own or control, subject to these Terms and applicable app-store rules.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer or attempt to derive source code from the application except to the extent such restriction is prohibited by applicable law. All rights not expressly granted are reserved.

5. Listings and Seller Obligations

Sellers must have legal authority to offer the relevant vehicle, part or service and must provide accurate, current and non-misleading information.

• Disclose the price and material charges.
• Describe condition, specifications and known material defects accurately.
• Identify used, refurbished or reconditioned goods where applicable.
• Do not list stolen, counterfeit, unlawfully obtained or prohibited goods.
• Do not conceal material ownership, finance, title or third-party rights known to you.
• Keep inventory reasonably current and remove unavailable listings.

We may reject, suspend, de-rank or remove content that appears unlawful, fraudulent, misleading, unsafe, duplicated, expired or inconsistent with these Terms.

6. Vehicle Information, Inspections and GreenRev Passport

Vehicle descriptions, VIN/chassis data, mileage, service records, accident history, registration details and ownership information may originate from users or third-party sources. Users should independently verify information material to a transaction.

A GreenRev verification, inspection, history report or GreenRev Passport reflects information available at the relevant time and is not, unless expressly guaranteed in writing, a warranty that a vehicle is free of defects, theft history, finance, title issues or undisclosed events.

Buyers should conduct appropriate physical, documentary and mechanical checks before completing a high-value vehicle transaction.

7. Parts, Mechanics, Rentals and Logistics

Parts vendors are responsible for product descriptions, authenticity, compatibility information and applicable warranties. Buyers should verify compatibility for their specific vehicle.

Mechanics, inspectors and experts may be independent providers and are responsible for their professional services unless GreenRev expressly states otherwise.

Rental, haulage, delivery and logistics services may be governed by additional provider terms, including identity checks, deposits, insurance, prohibited uses, delivery windows, cancellations and damage rules.

8. Transactions, Deal IDs and Delivery Confirmation

GreenRev may generate deal IDs, order references, delivery PINs or confirmation codes to support transaction tracking, commission administration, delivery confirmation, support and fraud prevention.

Keep confirmation codes confidential. A buyer should provide a delivery PIN only after receiving the relevant item or completing the confirmation step described in the Platform. Misuse or manipulation of transaction confirmations may result in account restrictions and investigation.

9. Payments and Payment Providers

Payments may be processed by independent payment providers. Their terms and privacy notices may apply. GreenRev may receive transaction references, status and other information necessary to administer the transaction.

If GreenRev offers split settlement, delayed settlement, safeguarded funds or escrow-like functionality, the specific release conditions displayed for that service apply. We will not describe a service as escrow unless the legal and operational arrangement supports that description.

Users must not use GreenRev for money laundering, payment fraud, unauthorised card use, chargeback abuse or other unlawful financial activity.

10. Finance and BNPL Referrals

GreenRev may introduce users to independent banks, lenders or other authorised finance partners. Unless expressly stated otherwise, GreenRev is not the lender, does not make the final credit decision and does not guarantee approval.

Finance or BNPL is subject to the provider's eligibility, affordability or credit checks, pricing, terms and regulatory requirements. Any preliminary indication or pre-evaluation is not a guaranteed offer.

11. Fees, Subscriptions and Commission

GreenRev may charge listing, subscription, promotional, lead, service or transaction fees and commissions. Material charges will be disclosed before they become payable.

Where a subscription renews automatically, the renewal basis, price and cancellation method will be disclosed with the plan. Users may cancel future renewal in accordance with the applicable subscription terms and mandatory law.

Users must not intentionally move a GreenRev-originated transaction off-platform solely to evade a clearly disclosed and contractually applicable GreenRev fee.

12. Cancellations, Returns and Refunds

Cancellation, return and refund rights depend on the transaction, seller/provider terms and applicable law. Nothing in these Terms removes a consumer right that cannot lawfully be excluded.

Sellers and providers must comply with applicable consumer-protection requirements concerning accurate information, quality, fair dealing, cancellation, returns and remedies.

Where GreenRev administers a refund, processing may depend on the payment provider, bank or card network.

13. User Content and Reviews

You retain ownership of content you submit. You grant GreenRev a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, distribute and use that content as reasonably necessary to operate, secure, improve and promote the Platform, subject to applicable privacy law.

You represent that you have the rights needed to submit the content. Do not upload unlawful, defamatory, fraudulent, infringing, threatening, discriminatory, malicious, privacy-invasive or exploitative content.

Reviews must reflect genuine experiences. We may remove manipulated, paid, fraudulent or abusive reviews.

14. Intellectual Property and IP Complaints

The GreenRev name, logos, software, interface, original content, designs and databases are owned by or licensed to GreenCrest Ltd. No rights are granted except those expressly stated in these Terms.

If you believe content on GreenRev infringes your intellectual-property rights, contact support@greenrevs.com with identification of the protected work, the allegedly infringing material, your contact details and a statement explaining your rights. We may remove or restrict content while reviewing a credible complaint.

15. Prohibited Conduct

• Hacking, phishing, malware, denial-of-service activity or unauthorised access.
• Scraping or harvesting Platform data without permission where permission is required.
• Impersonation, fake accounts, manipulated reviews, rankings, leads or transaction records.
• Spam, harassment, threats, discriminatory abuse or unlawful content.
• Fraudulent listings, stolen or counterfeit goods, unlawful trade or misuse of payments.
• Using bots or automation to interfere with Platform operation or other users.

We may investigate suspected misuse and cooperate with lawful regulatory, court and law-enforcement requests.

16. Third-Party Services

GreenRev may integrate with maps, identity services, payment providers, finance providers, logistics providers, analytics services and other third parties. Independent services are governed by their own terms and privacy notices.

A link, listing, integration, verification indicator or introduction does not by itself constitute a guarantee or endorsement of a third party.

17. Safety, Fraud Controls and Enforcement

We may use automated and manual controls to detect suspicious accounts, listings, communications and transactions. We may request additional verification, restrict features, delay or stop a transaction where legally permitted, preserve evidence or report suspected unlawful conduct.

GreenRev may remove content or suspend or terminate access for material or repeated breaches, security threats, fraud, legal requirements, non-payment or conduct that creates material risk to users or the Platform. Where appropriate and legally permissible, we may provide notice and a means to contact support about the decision.

18. Platform Availability and Changes

We aim to provide a reliable Platform but do not guarantee uninterrupted or error-free availability. Maintenance, network failures, cybersecurity incidents, third-party outages and events outside reasonable control may affect service.

We may add, modify or discontinue features. Where a change materially affects a paid service or user rights, we will provide notice where required or appropriate.

19. Disclaimers

Marketplace and vehicle information may be supplied by independent users and third parties. Unless expressly stated, GreenRev does not warrant the accuracy of every listing or the quality, safety, legality or fitness of a third-party product or service.

Information on GreenRev is for marketplace and informational purposes and is not, by itself, legal, financial, mechanical or investment advice.

Nothing in these Terms excludes statutory warranties, duties or consumer protections that cannot lawfully be excluded.

20. Liability

To the maximum extent permitted by applicable law, GreenRev is not liable for indirect or consequential losses arising solely from independent third-party conduct or services outside GreenRev's reasonable control.

For business users only, and to the extent permitted by law, GreenRev's aggregate liability arising from the relevant paid GreenRev service will not exceed the greater of the fees that business user paid to GreenRev for that service during the preceding 12 months or NGN 100,000. This cap does not apply where liability cannot lawfully be limited.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, or any other liability that applicable law prohibits us from excluding or limiting.

21. Business User Indemnity

To the extent permitted by law, a business user will be responsible for losses, claims, regulatory costs or reasonable expenses arising from that business user's unlawful listings, infringement of third-party rights, fraud or material breach of these Terms, except to the extent caused by GreenRev's own breach or unlawful conduct.

22. Complaints and Disputes

Contact support@greenrevs.com with the relevant account, listing, order or transaction reference and supporting information. We may request information from other parties to investigate fairly.

These Terms do not remove rights to complain to a competent regulator, including the Federal Competition and Consumer Protection Commission where applicable, or to seek relief from a court of competent jurisdiction.

23. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Subject to mandatory consumer rights and applicable dispute-resolution requirements, disputes may be submitted to courts of competent jurisdiction in Nigeria.

24. Changes to These Terms

We may update these Terms for product, legal, regulatory, security or business reasons. The effective date will be updated. Material changes will be communicated where required or appropriate, and fresh acceptance will be obtained where legally required.

25. General

If a provision is invalid or unenforceable, the remaining provisions continue to apply. A failure or delay in enforcing a right is not a waiver. You may not assign your contractual rights or obligations without our consent where consent is legally permitted to be required. GreenRev may assign its rights and obligations as part of a lawful corporate restructuring, financing or transfer of the business, subject to applicable law.

These Terms and service-specific terms incorporated by reference constitute the agreement governing the relevant GreenRev service.
